We at Implicit (Implicit, Inc. and our affiliates) are committed to protecting your privacy. This Privacy Policy applies to our Implicit Sync product, Demo App and our website at www.implicitsync.com. This Privacy Policy applies to both the Implicit-branded ‘Implicit Sync’ product (uses the Implicit brand name and logo) and to the OEM-branded product (uses the OEM brand name and logo). “OEM” refers to the provider of the CRM application that you are using, that has licensed Implicit Sync from Implicit.

This Privacy Policy governs our data collection, processing and usage practices. It also describes your choices regarding use, access and correction of your personal information. By using the Implicit Sync product, Demo App and Website, you consent to the data practices described in this Privacy Policy. If you do not agree with the data practices described in this Privacy Policy, you should not use Implicit Sync, Demo App and Website.

We periodically update this Privacy Policy. We encourage you to review this Privacy Policy periodically. This helps you to always be aware of what information we collect, how we use it and under what circumstances, if any, it is disclosed. Your continued use of the Implicit Sync product, Demo App and Website and/or continued provision of Personal Information to us will be subject to the terms of the then-current Privacy Policy.

1. Information We Collect

1.1. "Personal Information"

This refers to any information that you voluntarily submit to us and that identifies you personally, including contact information, such as your name, e-mail address, company name, address, phone number, and other information about yourself or your business. Personal Information can also include information about any transactions, both free and paid, that you enter into on the Website or directly with Implicit, and information about you that is available on the internet, such as from Facebook, LinkedIn, Twitter and Google, or publicly available information that we acquire from service providers.

1.2. "Sensitive Information"

This refers to credit or debit card numbers, personal financial account information, Social Security numbers, passport numbers, driver's license numbers or similar personal identifiers, racial or ethnic origin, physical or mental health condition or information, or other employment, financial or health information.

1.3. "Navigational Information"

This refers to information about your computer and your visits to our website such as your IP address, geographical location, browser type, referral source, length of visit and pages viewed. Please see the "Navigation Information" section below.

1.4. Payment Information

When you submit an order to purchase a license, we collect and process payment information from you, including billing information and credit card numbers, using third party PCI-compliant service providers. Except for this, we do not collect Sensitive Information from you.

1.5. Information About Children

The Website is not intended for or targeted at children under 13, and we do not knowingly or intentionally collect information about children under 13. If you believe that we have collected information about a child under 13, please contact us at privacy@Implicitweb.com, so that we may delete the information.

1.6. Information we collect when you visit our Website

You are free to explore the Website without providing any Personal Information about yourself.

1.7. Information we collect when you fill out a demo or a free trial request

When you visit the Website and request a demo or a free trial of the Implicit Sync product, we request that you provide Personal Information about yourself. This information includes, your name, email address, phone number, company name and number of employees, number of CRM users and information about the CRM application you are using.

1.8. Information we collect when you use our Implicit Sync Product

1.8.1 Licensing Related Information

Implicit does not collect any Personal Information to associate with your software license. The only information that is used when you activate or deactivate your license, is the license key (“License Key”) that was assigned to you or to the OEM.

1.8.2 Login Information

When you use Implicit Sync in conjunction with an OEM CRM application (“the “CRM Application”), you are prompted to enter your CRM user ID and password. This information is communicated directly to the CRM Application and does not get sent to Implicit.

When you use Implicit Sync in conjunction with Implicit’s Demo App, the email address that you provided when you submitted the demo request will be used as your user ID to login to the Implicit’s Demo App.

1.8.2. Log Files

In order to allow us to troubleshot issues with the Implicit Sync software or with your CRM environment, Implicit Sync generates a log file on your desktop that contains information about all of its operations including processing of CRM records. These log files continue to reside on your desktop and are not sent to Implicit nor does Implicit has any access to these log files. When you request technical support from Implicit (or our OEM partners) support personnel may ask you to email or upload these log files to a support website so that they can review them and extract information that may help them troubleshoot the issue. The information in these log files is directly related to your CRM system and it is your responsibility to ensure that there is no Personal or Sensitive Information in these log files, and to remove any Personal or Sensitive Information from these log files before sending them to support.

2. How We Use Information We Collect

2.1. Compliance with Our Privacy Policy

We use the information we collect only in compliance with this Privacy Policy. Customers who use our product either under a trial license or who have purchased an Implicit Sync license, are obligated through Implicit’s agreement with them to comply with this Privacy Policy.

If you are using Implicit Sync in conjunction with an OEM CRM Application, you are obligated through the OEM’s software agreement to comply with the OEM’s privacy policy.

2.2. We Never Sell Personal Information

We will never sell your Personal Information to any third party.

2.3. Activation and Release of License

When you install Implicit Sync and launch Microsoft Outlook, Implicit Sync prompts you to enter a License key that was assigned to you or to the OEM. This License Key is used to provision your license. When you uninstall Implicit Sync, this License Key is used in order to release your license. No Personal Information is used in this process.

2.4. User Credentials when using Implicit Sync in conjunction with a CRM Application

Upon installing Implicit Sync and launching Outlook, or from within the Options dialog you are prompted to enter your CRM credentials (user ID and password). This information is communicated from the Implicit Sync Outlook add-in directly to the CRM application and does not get sent in any way to Implicit.

2.5 Implicit Sync Demo Application

2.5.1 User Credentials when using Implicit Sync in conjunction with Implicit’s Demo App

When using Implicit’s Demo App, your user ID that is assigned to you by Implicit is the email address that you provided when you submitted the demo request to Implicit. The password will be assign to you by Implicit.

2.5.2 Test Data

When using Implicit’s Demo App, it is your responsibility not to sync any Personal or Sensitive Information from your Outlook to Implicit’s Demo App. Please make sure to sync only test data when syncing contacts, calendar, tasks and emails from your Outlook. Make sure this is test data only and does not contain any Business, Personal or Sensitive information of any valid Outlook contacts, calendar events and tasks. When you archive emails or documents, make sure they do not contain any Business, Personal or Sensitive information. Implicit is not responsible for any data that you sync or archive to the Demo App.

2.6. Additional Use of Personal Information

We may use your Personal Information to:

  • If you placed the order for an Implicit Sync license or trial through one of our partners / resellers and you authorized the partner to share your information with us. In addition, we may share information with resellers related to your request to purchase additional license or remove licenses.
  • Contact you in order to provide customer support
  • Send information to you which we think may be of interest to you by email, or other means;
  • Send you marketing communications relating to our business or products
  • Improve your browsing experience by personalizing the Website and to improve our product;
  • Otherwise to fulfill the obligations under the Implicit Terms of Service.

2.7. Use of Navigational Information

We use Navigational Information to operate and improve the Website and our software products.

2.8. Customer Testimonials and Comments

We post customer testimonials and comments on our Website, which may contain Personal Information. We obtain each customer's consent via email prior to posting the customer's name and testimonial.

2.9. Use of Credit Card Information

If you give us credit card information, we use it solely to collect payment from you. We use a third-party service provider to manage credit card processing. This service provider is not permitted to store, retain, or use information you provide except for the sole purpose of credit card processing on our behalf.

2.10. Security of your Personal Information

We use a variety of security technologies and procedures to help protect your Personal Information from unauthorized access, use or disclosure. We secure the Personal Information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use or disclosure. When sensitive Personal Information (such as a credit card number and/or geo-location data) is collected on our Websites and/or transmitted to other websites, it is protected through the use of encryption, such as the Secure Socket Layer (SSL) protocol.

2.11. External Websites

Our Website may provide links to other websites. We do not control, and are not responsible for, the content or practices of these other websites. Our provision of such links does not constitute our endorsement of these other websites, their content, their owners, or their practices. This Privacy Policy does not apply to these other websites, which are subject to any privacy and other policies they may have.

2.12. International Transfer of Information

To facilitate our global operations, we may transfer and access Personal Information from around the world, including the United States. This Privacy Policy shall apply even if we transfer Personal Information to other countries.

2.13. Retention of Personal Information

We retain your Personal Information for as long as you use the Implicit Sync product and require a valid license. If you cease to use the product and no longer require a license, we may continue to retain your Personal Information for as long as we consider it potentially useful in contacting you about our software products and services, or as needed to comply with our legal obligations, resolve disputes and enforce our agreements, and then we securely delete the information. If you no longer use the product, you may request that your Personal Information be deleted, as described in "Opting Out and Unsubscribing" below, in which case, we will, unless legally prohibited, delete all your Personal Information, from our database.

2.14. Corporate Events

If we (or our assets) are acquired by another company, whether by merger, acquisition, bankruptcy or otherwise, that company would receive all information gathered by Implicit on the Website or directly. In this event, you will be notified via email, of any change in ownership, use of your Personal Information, and choices you may have regarding your Personal Information.

2.15. Compelled Disclosure

We reserve the right to use or disclose your Personal Information if required by law or if we reasonably believe that use or disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or comply with a law, court order, or legal process.

3. Opting Out and Unsubscribing

3.1. Reviewing, Correcting and Removing Your Personal Information

Upon request Implicit will provide you with information about whether we hold any of your Personal Information. If you provide us with your Personal Information, you have the following rights with respect to that information:

  • To review the user information that you have supplied to us
  • To request that we correct any errors, outdated information, or omissions in user information that you have supplied to us
  • To request that your user information not be used to contact you
  • To request that your user information be removed from any solicitation list that we use
  • To request that your user information be deleted from our records
  • To opt out of being solicited by Implicit or third parties
